Unless defined elsewhere in the Agreement, capitalized terms set out in the Agreement are defined as follows:
“Application” or “App” is defined in the Yodify API Terms.
“Client” means an individual, business, government, non-profit organization, or educational institution that uses the Service to educate, promote and/or sell goods or services.
"Client Agreement" means the agreement between an Agency Partner and the Client that specifies the terms and conditions governing the Client's use of the Agency Partner's services, including the installation and use of an Application, if applicable.
“Client Data” means information (including Personal Information) regardless of the media in which it exists (electronic or paper form) or how it is stored, accessed or transmitted (electronic, physical or oral) about, or relating to, a Client or Client Website, including, but not limited to, product, business, and financial information, pricing, customers, providers, business agreements and business relationships, confidential, proprietary and intellectual property including ideas, formulas, trade secrets, original works of authorship, trademarks, service marks, patents, inventions, software, source code, designs, methods, and techniques, regardless if they are registered for protection under any patent, trademark or copyright laws, as well as any Customer Data. Where Agency Partner uses the Yodify API, Client Data may be delivered in the form of an API response.
“Client Website” means the Client’s catalog, commerce presence, or other sites powered by Yodify, including their online store. For clarity, a Client may have more than one Client Website.
“Customer” means any individual that visits or conducts a transaction via a Client Website.
“Customer Data” means all information (including Personal Information) relating to a Customer, including, but not limited to, a Customer's name, address, phone number, e-mail, shipping address, order information, payment information, and account information.
“Data Services” means the collection of operations performed by Yodify that facilitate and provide for the creation, management, administration, and utilization of brand and product data in a structured and efficient manner to enhance the Client and/or Customer's experience. Data Services play a crucial role in the operation of digital catalog platforms by ensuring that product information is accurate, up-to-date, and easily accessible, thereby enabling businesses to efficiently manage their online presence and provide a superior customer experience. Key aspects of Data Services include:
- Data Creation and Management: Efficiently creating, organizing, and/or managing data. This may include product name and brand, categories, filters, SEO, description, features, images, configurators, SKUs, MPNs, unit of measure, pricing visibility, backorders allowed, lead times, discounts, specifications, applications, documentation, videos, add-ons, and related items.
- Data Import/Export: Tools and functionalities that allow for the bulk import and export of product data and other relevant information to and from the platform. This is crucial for businesses that need to update their catalogs frequently or migrate data between systems.
- Data Quality Management: Ensuring the accuracy, consistency, and reliability of data within the platform. This involves cleaning data, removing duplicates, and validating data to ensure it meets quality standards.
- Product Information Management (PIM): A centralized system to manage all aspects of product information, making it easier to create, manage, and distribute product catalogs across multiple channels and platforms.
"Development Services" refers to the range of activities involved in creating, designing, deploying, and maintaining software features, applications or systems. These services encompass a broad spectrum of tasks, including but not limited to:
- Requirements Analysis: Understanding and documenting the needs and expectations of the Client and Customers to define clear and precise software requirements.
- Design: Architecting the software's structure, including its components, user interface, and data flow, in a way that meets the specified requirements.
- Coding and Programming: Writing the actual code in suitable programming languages to implement the software's design and functionality.
- Testing: Evaluating the software to ensure it meets the required standards and specifications. Testing may include various methods such as unit testing, integration testing, system testing, and acceptance testing to identify and fix defects.
- Deployment: Releasing the completed software to a production environment where it can be accessed and used by its intended users.
- Maintenance and Updates: Providing ongoing support to fix any issues that arise after the software is deployed and updating the software to add new features or address security vulnerabilities and other concerns.
- Integration: Ensuring the new software can communicate and function effectively with other systems or software within the organization’s ecosystem.
- Documentation: Creating detailed documentation for the software, including user manuals, technical specifications, and developer guides, to assist with future maintenance, updates, and usage.
“Development Website” means a catalog and/or commerce presence created in the Agency Partner Dashboard that is used by an Agency Partner for (a) testing purposes or (b) for the development and transfer of a Client Website to a Client.
“Order Form” means an ordering document or online order specifying the Services to be provided hereunder that is entered into between Client and Yodify, including any addenda and supplements thereto. By entering into an Order Form hereunder, an Agency Partner agrees to be bound by the terms of this Agreement as if it were an original party hereto.
“Agency Partner” or “You” means an individual or entity that has agreed to the terms of this Agreement and participates in the Yodify Agency Partner Program. There are two types of Referral Partners, You may qualify as more than one type of Referral Partner at the same time for the purposes of this Agreement:
- A "Value-Added Referral Partner” or "VAP" is an Agency Partner who registered for an Agency Partner Account via the Yodify partner program page and works directly with Clients via a Development Website in the capacity of a designer, developer, or other consultant to promote the service and refer them to Yodify.
- An "Affiliate Referral Partner” is an Agency Partner who has registered for an Agency Partner Account through the Yodify partner program page, and being approved by Yodify, uses a referral link, known as an "Affiliate Link" which is supplied by Yodify and can be used to promote the service and refer Clients to Yodify.
“Agency Partner Account” means a Yodify Agency Partner Program account.
“Agency Partner Dashboard” means the internal administrative interface operated by Yodify which the Agency Partner will use to manage their Agency Partner Account.
“Agency Partner Manager” means the Yodify team member designated by Yodify from time to time as the Agency Partner’s primary Yodify contact.
“Payment Period” has the meaning as set out in Section 3.
“Agency Partner Program” means the resources made available by Yodify to Agency Partners.
“Agency Partner Websites” means any websites that are owned, operated or managed by an Agency Partner and that relate to Agency Partner’s activities pursuant to this Agreement.
“Personal Information” means any information relating to a natural person who can be directly or indirectly uniquely identified, in particular by reference to an identifier such as a name, a phone number, an email address, an online identifier, an identification number, location data, financial information, payment information (including payment card or bank account numbers), medical, or health information protected under any health data protection laws, genetic data, biometric data, government identifiers such as a social insurance number or passport number or any other information specific to a person. Personal Information also includes an individual’s ethnic or racial origin, sexual behavior or sexual orientation, political opinions, religious or philosophical beliefs, and union membership.
“Public Application” is defined in the Yodify API Terms.
“Referred Client” means any unique Client that: (a) has registered for a paid Yodify account; and (b) was introduced by a Referral Partner that actively promoted the Service.
"Revenue Generating Activity" means an activity performed by Agency Partner to generate revenue, as determined by Yodify, including the creation and transfer to Client of a Development Website and the registration by such Client for a paid Yodify account. Agency Partner will be credited for a Revenue Generating Activity on the date the Client pays the initial subscription fees for the relevant Client Website. “Sanctions” means any applicable economic sanctions or anti-terrorism laws or measures of (1) Canada, including the Special Economic Measures Act, the Freezing Assets of Corrupt Foreign Officials Act, the Justice for Victims of Corrupt Foreign Officials Act (Sergei Magnitsky Law), the United Nations Act, and Part II.1 of the Criminal Code and any regulations or orders issued under the foregoing; (2) the United States, including those imposed, administered, or enforced by the U.S. Department of the Treasury’s Office of Foreign Assets Control and the U.S. State Department; (3) the United Nations Security Council; (4) the European Union; and (5) the United Kingdom, including those imposed, administered, or enforced by Her Majesty’s Treasury.
“Sanctioned Person” means any individual or entity listed or designated under Sanctions or located or resident in or organized under the laws of a country or territory that is the subject of comprehensive territorial Sanctions, or any entity directly or indirectly owned or controlled by one or more of the foregoing.
“Service” means the Yodify hosted catalog and commerce platform available via www.yodify.com and any associated websites, products or services offered by Yodify.
“Taxes” means all federal, provincial, state, local or other governmental sales, goods and services, value added, harmonized, sales, gross receipts, or other transaction taxes, fees, charges or surcharges, or any regulatory cost recovery surcharges or similar amounts now in force or enacted in the future.
“Theme” means the templates for website layout and design that Clients may install, use and customize for their Client Website.
“Unsupported Region” means a region where Yodify is unable to operate due to local legal and regulatory requirements, commercial partnerships, and/or other pertinent factors. Yodify does not support transactions that involve these regions or persons located in or resident in or items originating from or destined for these regions. A list of Unsupported Regions can be found here.
“Yodify API” is defined in the Yodify API Terms. “Yodify API Terms” means the Yodify API License and Terms of Use available at Yodify.com/legal/api-terms.
"Yodify Creative" means any marketing or promotional materials that are related to Yodify or Yodify brands, including but not limited to, domain names, copyrighted materials, banners, buttons, hypertext links, images, graphic files, icons, and the Yodify Trademarks.
“Yodify Related Entity/ies” means any entity that has direct or indirect control over Yodify, is controlled by Yodify, or is under common control with Yodify. In this context, "control" means having the ability, either directly or indirectly, to influence or determine the management policies of another entity. This control can be established through ownership of voting securities, contractual agreements, acting as a trustee or executor, or any other means.
“Yodify Trademarks” means the trademarks, logos, service marks, and trade names of Yodify, Inc. and any Yodify Related Entities, whether registered or unregistered, including but not limited to the word mark YODIFY, the Yodify figurative mark, the Yodify official font, the word mark DISTRIBUTED ENTERPRISE CATALOG, the word mark DISTRIBUTED ENTERPRISE CATALOG INFINITY, the word mark DEC, the word mark DEC INFINITY, the word mark INVISION, the word mark MAKE CONTACT, and the YODIFY CUBE ICON design mark.
“Yodify Theme Collection” means the Yodify website where Clients can select and install Themes on their Client Website, available in the Admin Portal > Appearance & Pages on yodify.com.
